Constitution of Brampton Community Band
1 Name
The name of the unincorporated association shall be Brampton Community Band (BCB).

2 Objects
2.1 To promote the playing of traditional music.
2.2 To provide a forum for musicians of all standards to play traditional music in a convivial and supportive atmosphere.
2.3 BCB arranges outreach events and publicity, as appropriate.
2.4 To provide live music for community events.
2.5 BCB does not discriminate on the basis of race, sex, disability, sexuality, age or on the basis of political, religious or other opinions that do not incite prejudice.
2.6 BCB provides a Child Protection Policy.

3 Powers
In furtherance of the above Objects, BCB may raise funds in a legal manner to maximise the opportunities as detailed in the Objects.

4 Eligibility of Membership
4.1 A BCB Member shall be defined as someone who regularly attends BCB sessions and is registered on the mailing list.
4.2 Membership may be revoked at the discretion of the Committee.


5 Committee
5.1 BCB Committee shall consist of three Officers: Chairperson, Secretary and Treasurer; with subsidiary posts, as appropriate.
5.2 Officers of BCB will be elected annually at the AGM by all Members present.
5.3 In the event of an Officer standing down during the year, a replacement will be elected by BCB at a Special Meeting by all Members present.

6 Meetings
6.1 The Annual General Meeting (AGM) will be held on a day before the 16th November of each year.
6.2 All Members will be notified, in writing, at least three weeks before the AGM.
6.3 Nominations for the Officers and items for the agenda must be given in writing to the Chair of the meeting no less than one week before the meeting date.
6.4 All Members are entitled to vote.
6.5 A General Meeting shall be held, in accordance with the Objects, as required and is open to all members.
6.6 The quorum for any meeting shall be three Members. In the event of the meeting failing to achieve a quorum, business may be discussed and proposals put to the next meeting for ratification. In the event of two consecutive meetings being inquorate a Special Meeting will be held and deemed to be quorate.




7 Rules of Procedure
7.1 With the exception of amendments to the constitution, all questions that arise at any meeting will be decided by consensus.
7.2 Should this not be possible a vote will be necessary and the decision made by a simple majority of those present and entitled to vote. If the number of votes cast on each side is equal, the Chair of the meeting shall have an additional casting vote.
7.3 Any proposal to amend the constitution must be given to the Chair in writing three weeks before the notice of the meeting at which it is to be discussed and the proposal must then be circulated with the notice of meeting.
7.4 Any proposal to amend the constitution will require a two thirds majority of those present.

8 Finances
8.1 A cheque account will be maintained on behalf of BCB at the agreed bank. Signatories to the account will be the Officers. Each cheque will require two signatures, one of whom shall be the Treasurer.
8.2 Records of income and expenditure will be maintained by the Treasurer and a financial statement given, as required.
8.3 All money raised by BCB will be spent solely on the Objects laid out above, to include expenses payable to band members.

9 Dissolution
9.1If a meeting, by two thirds majority, decides that it is necessary to dissolve BCB, it may call a Special Meeting to do so. The sole business of this meeting will be to dissolve the association.
9.2 All Members will be informed, with 3 weeks' notice, in writing of the Special Meeting and the intention to dissolve.
9.3 If it is agreed to dissolve BCB, all remaining money, assets and equipment, once outstanding debts have been paid, will be donated to a local community association; to be agreed at the same meeting.

10 Maintenance of Constitution and Policies
10.1 The Constitution and any Policies will be reviewed at the Annual General   Meeting.

What is an Unincorporated Association?

BCB would be termed an Unincorporated Association.
‘An Unincorporated Association is a membership organisation. It can be whatever its members want it to be, and carry out whatever activity you choose. It is the easiest, quickest and cheapest way for a group to set itself up. There is no need even to keep a membership list – anyone who is entitled by your rules to be a member can simply turn up and take part. It is ideal for many small groups, especially those without staff or premises. A large number of groups fall into this category (sometimes without knowing it). You do not have to seek approval of any kind before setting up and you are free to draw up your own democratic constitution setting out the rules under which your group will be run. You do not have to register with any regulatory body, though if your group has charitable aims and an income above £1,000 per year you may be required to register with the Charity Commission.
An unincorporated association is appropriate where:
• the people who will control the organisation are democratically elected from time to time; or
• the organisation will have a membership; or
• the organisation’s original objects and policies may need to be modified from time to time’- Charity Commission.
